Welcome to our Software as a Service (SaaS) application. This application is provided by Onyz ("we", "us", or "our"). By using our service, you agree to these Terms and Conditions.

Welcome to Onyz, a Software as a Service (SaaS) platform operated by Onyz ("we", "us", or "our"). By accessing or using our services, you (“the user”) agree fully to these Terms and Conditions. If you do not agree, you must not use the platform.

2. Services

Onyz provides a business and project management platform, available under both paid and free plans.

The free plan is offered on a limited basis, without any guarantee of availability, support, performance, or continuity. We reserve the right to modify, suspend, or terminate the free plan at any time with a minimum of 30 (thirty) days prior notice to affected users. Continued use after such changes constitutes automatic acceptance.

All plans — free or paid — are provided “as is”, without any express or implied warranties of performance, continuity, fitness for a particular purpose, error-free operation, or compatibility with other systems. The use of the service is entirely at the user’s own risk, and Onyz has no obligation to provide support, maintenance, or updates.

3. Software Use and Suggestions

By using Onyz, you agree to use the software only as provided. Suggestions for improvements are welcome, but submitting them does not create any obligation for implementation or compensation.

Onyz may change, update, add, or remove features at any time without prior notice and shall not be held responsible for any resulting impact.

4. Data Collection and Storage

By using our services, you authorize the collection, processing, and storage of business and personal data in the United States and Canada.

We employ reasonable security measures, but data transmission over the internet carries inherent risks. Therefore, Onyz does not guarantee absolute security and shall not be liable for interceptions, unauthorized access, or data loss.

5. Service Availability and Interruptions

Onyz strives to maintain continuous service availability but does not guarantee uninterrupted access. Interruptions may occur due to maintenance, technical failures, or force majeure events.

We reserve the right to temporarily suspend access for maintenance, repairs, or updates. Such interruptions do not entitle users to any compensation or reimbursement.

6. Software Errors and Limitations

While we aim to maintain accuracy and stability, we do not guarantee that our services will be free from errors, bugs, or interruptions.

Use of the platform is at the user’s own risk. Onyz and its representatives shall not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of data, profits, or business interruptions.

7. Compliance with Laws and Regulations

Users are fully responsible for ensuring that their use of Onyz complies with applicable laws and regulations related to their business activities. Onyz assumes no compliance obligations on behalf of the user.

We recommend seeking independent legal advice to ensure compliance with tax, labor, and data protection laws.

8. User Responsibilities

Users are responsible for maintaining the confidentiality of their account credentials. All actions taken under their account are their sole responsibility.

Use of Onyz must be strictly lawful and legitimate. Any illegal or abusive activity may result in immediate and permanent account suspension.

9. Payments

Paid plans must be paid in advance according to the selected billing cycle. Onyz reserves the right to adjust prices with prior notice. Non-payment may result in suspension or termination of service.

10. Taxes and Fiscal Responsibility

Onyz is a company based in Ontario, Canada, and is subject to local tax laws. For clients outside Canada, users are responsible for complying with local tax obligations, including VAT, sales tax, or equivalent fees.

11. Termination

We reserve the right to suspend, modify, or terminate any service, including the free plan, at any time with at least 30 (thirty) days prior notice. Such termination does not entitle users to any compensation.

Users may cancel their account at any time by contacting support[at]onyz.ca. Paid plan cancellations are subject to the terms of the active contract.

12. Intellectual Property

All intellectual property rights related to Onyz, including trademarks, logos, source code, content, and design, are the exclusive property of Onyz. No ownership or license is granted to the user, except for temporary use in accordance with these Terms.

Copying, distributing, modifying, decompiling, reselling, or creating derivative works from the software without prior written consent from Onyz is strictly prohibited.

13. Limitation of Liability

The use of Onyz, under any plan, is entirely at the user’s own risk. The service is provided “as is”, without express or implied warranties of any kind.

To the maximum extent permitted by law, Onyz, its owners, and developers shall not be held liable for any loss of data, profits, revenue, business interruptions, or for direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the service, even if advised of such possibilities.

The user acknowledges that Onyz provides no guarantees regarding availability, continuity, technical support, updates, or suitability for any specific purpose.

14. Governing Law and Jurisdiction

These Terms and Conditions are governed by and interpreted in accordance with the laws of Canada, province of Ontario. Any disputes arising from these Terms shall be resolved exclusively in the courts of Ontario, Canada.

15. Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. Changes take effect immediately upon posting on this website. Continued use of the service after updates constitutes full acceptance of the new terms.
